General Terms and Conditions of Flandrienella
1. General
These general terms and conditions apply to all agreements, offers, and services provided by Flandrienella, located at Vredelaan 48, 1982 Weerde, and registered with the KBO under number BE1016217728. By entering into an agreement, the client accepts these terms and conditions. Deviations are only valid if agreed upon in writing.
2. Offers and Agreements
2.1. All offers made by Flandrienella are non-binding unless explicitly stated otherwise.
2.2. An agreement is concluded after written confirmation by Flandrienella or upon commencement of the services.
3. Prices and Payments
3.1. All prices are exclusive of VAT unless stated otherwise.
3.2. Invoices must be paid within 14 days of the invoice date unless agreed otherwise in writing.
3.3. In the event of late payment, the client will automatically owe interest of 1% per month, as well as a fixed compensation of 10% of the due amount, with a minimum of €50, without prior notice.
4. Performance of Services
4.1. Flandrienella will perform the services to the best of its ability and in accordance with the agreements made with the client.
4.2. Flandrienella reserves the right to engage third parties for the performance of services.
5. Liability
5.1. Flandrienella is only liable for direct damage resulting from gross negligence or intent.
5.2. Liability is in all cases limited to the amount paid by the client for the relevant services.
5.3. Flandrienella is not liable for indirect damage, such as loss of profit, missed savings, or damage caused by business interruption.
6. Force Majeure
6.1. In the event of force majeure, Flandrienella is entitled to suspend or dissolve the agreement without any obligation to pay compensation.
6.2. Force majeure includes all circumstances beyond Flandrienella’s control that make the fulfillment of obligations temporarily or permanently impossible.
7. Intellectual Property
7.1. All intellectual property rights related to the services or products provided by Flandrienella remain the property of Flandrienella unless otherwise agreed in writing.
7.2. Clients are not permitted to copy, distribute, or publicly disclose materials without Flandrienella’s written consent.
8. Termination of the Agreement
8.1. Both parties can terminate the agreement in writing, subject to a notice period of one month.
8.2. If the client fails to meet their obligations, Flandrienella has the right to terminate the agreement with immediate effect.
9. Applicable Law and Disputes
9.1. All agreements are governed by Belgian law.
9.2. Disputes will be submitted to the competent court in the district where Flandrienella is located.
10. Privacy
10.1. Flandrienella processes personal data in accordance with the General Data Protection Regulation (GDPR). For more information, refer to our privacy policy at www.flandrienella.com.
11. Amendments
11.1. Flandrienella reserves the right to amend these general terms and conditions. Amendments will be communicated in writing and will take effect 30 days after notification.
